7:00 p.m. Membership Business Meeting

· Vote to amend by-laws (see explanation below)
The Board has approved the following two changes. The first one specifies the minimum number of members needed for an annual meeting quorum. The second one clarifies a confusing requirement related to providing notice for board meetings.
1. Article II, Section V. Quorum. Current language: [A quorum of the Trust shall consist of a majority of those in attendance.] Recommended Revision: A quorum of the Trust shall consist of seven members.
2. Article III, Section VI. Meetings. Current language: [Notice of Board meetings shall be given by the Chair of the Board to all members of the Trust no later than (1) one day prior to the meeting, except that the meetings shall be called by notice to all Trustees and members of the Trust at least three (3) days prior to the date of such meeting.] Recommended Revision: Notice of Board meetings shall be given by the Chair of the Board to all Trustees no later than three (3) days prior to the date of such meeting.

Skip Flanders will present a collection of slides and historical information about Duxbury. The origin of some early settlers,
early scenes and steroviews of bridges, Bolton Falls and other highlights of Duxbury will be featured.

Directions to Green Mountain Coffee Roasters Offices and Java University
From I-89 (Southbound):
Exit 10 (Waterbury). The exit will fork, head to the right. At the end of the road, take a left. You will go under some train tracks, by the recreation field. Go through the first set of stop lights and continue on to the next set. At the next set, there will be a Chittenden bank on your left hand side. Take a left. You will see a train station, continue on over the train tracks and around the corner to the right. On your right hand side, you will see a large brown building with a green Green Mountain logo awning out front. Roughly across from that building, on the left, is a large tan steel building. Enter the building through the double glass doors at the right of the building. There is a green awning over the door marked Java U.
From I-89 (Northbound):
Exit 10 (Waterbury). At the end of the ramp, take a left. This road will cross back over the highway. At the end of the road, take a left. You will go under some train tracks, by the recreation field. Go through the first set of stop lights and continue on to the next set.
